Morristown Department Store filed a charter for business in 1905 with initial capital stock of $20,000. In the charter the founders pledged valued stock, then offered subscriptions to the stock. However, when asked to pay out on their stocks, some subscribers failed to pay. In the initial suit, these subscribers claimed that the charter was faulty because the initial $20,000 stock did not truly exist, since it was meant to be gathered by purchased stock. |

Oliver's brother in law, Gaston O'Brien was sent to the magistrate's office to handle the suit. Oliver was made to pay Leslie $455.54, but Oliver was allegedly in debt or for some reason unable or unwilling to pay. This suit seeks to settle the disagreement. |
